The presentation will survey the current state of SPAC transactions from a market and a tax perspective. The panel will address the life cycle of a SPAC from formation through de-SPAC as well as other operational matters. Reorganization qualification,
Section 7874, Section 367, and PFIC matters will be discussed. SPAC spin off transactions and the use of Up-Cs in the context SPAC transactions will also be considered.
