 Final Section 385 Debt/Equity Regulations
Section 385(a) authorizes the U.S. Treasury Department to issue regulations to determine whether an interest in a corporation should be treated as debt or equity for federal tax purposes. In April 2016, Treasury and the IRS issued proposed “debt/equity” regulations under Section 385 that were aimed at protecting the U.S. tax base by limiting the use of “earning-stripping” techniques that rely on payments of deductible interest. The potential scope and applicability of the proposed regulations promised a transformational change for how debt instruments are treated and used under the U.S. tax laws. Last month, Treasury issued final Section 385 regulations which are more narrowly tailored than the proposed regulations. Understanding the impact of the final regulations remains a “must” for all U.S. tax practitioners.

This panel will discuss the final Section 385 regulations and their impact in the marketplace.
