 Recent U.S. Tax Developments Concerning International Spins

Over the last year, there have been generally favorable changes concerning the US taxation of international divisive reorganizations (referred to as “spins”), particularly in the area of north/south and “reverse Morris Trust” transactions.  This session will discuss how loans, contributions and distributions can impact a north/south analysis especially in the context of recent rulings. This session will also discuss how the recent rulings provide helpful guidance as to how the 2-year limitation on post spin mergers and sales can be successfully navigated.  Finally, the session will examine how the newly proposed US tax legislation can be expected to favorably impact international spins.
